Terms of Service

Revised version 2026-10-16, dated 16 October 2026 · Ospry Suite Ltd, United Kingdom

1. Who we are and what this is

Ospry is run by Ospry Suite Ltd, a company registered in the UK with company number 17455389, registered office 7 Walnut Way, Leicester, LE8 5TJ, United Kingdom ("we", "us"). You can reach us at hello@osprysuite.com.

Ospry audits websites, tracks search visibility, runs the Cue website assistant and Nib content drafts, keeps CRM records, produces client reports and a client portal and, where you connect your own systems, makes changes that you or your clients approve. These terms are the agreement between us and the business that uses Ospry ("you").

2. Business and professional use only

Ospry is provided for business and professional use. You may only use it for the purposes of your trade, business, craft or profession. It is not offered to consumers, and you must not sign up or pay if you are acting wholly or mainly outside your business.

When you create an account or accept these terms, you confirm that you are 18 or over, that you act for a business (a sole trader counts), and that you have authority to agree to these terms for it. We keep a record of which version of these terms and the Privacy Policy you accepted, and when.

3. Your account and workspace

  • Give accurate details, including your business name, and keep them up to date.
  • Keep your password to yourself. You are responsible for what happens under your logins, including the teammates and client portal users you invite and the permissions you give them.
  • The person who owns a workspace manages its billing, its team and its connections. One workspace per business. Your workspace's data is not visible to other workspaces.
  • Tell us straight away at hello@osprysuite.com if you think someone else has used your account.

4. Plans

The plans are Free, Solo, Founding, Agency, Growth, Talk to us and Cue Standalone. What each one includes and costs is shown on the pricing page and, for your workspace, on the Billing page and at checkout. The plan, price and allowances confirmed at checkout are the ones that apply to you.

  • Free costs nothing, is not a trial and does not run out. It has the smallest allowances.
  • Solo, Agency and Growth are monthly subscriptions with larger allowances.
  • Founding is a monthly subscription open to a limited number of Founding accounts. Once the places are taken it closes to new subscribers. Anything we have promised a Founding account in writing stands.
  • Talk to us is a custom arrangement. Nothing changes until we have agreed its terms with you in writing, and those written terms apply alongside these.
  • Cue Standalone is a monthly subscription for the Cue website assistant on its own.

If we give you a paid plan free for a set period (for example through an invite), nothing is charged, and when the period ends the workspace moves to Free unless you have chosen a paid plan.

5. Subscriptions, payment and renewal

  • Paid plans are recurring monthly subscriptions, billed in advance through Stripe. Card details go to Stripe, not to us.
  • A subscription renews automatically at the end of each monthly billing period, at the price that then applies to it, until it is cancelled.
  • We are not VAT registered, so no VAT is charged. Checkout also asks for your billing address and lets you add a business tax ID.
  • Invoices and receipts are available in the billing portal.

6. Included allowances

Each plan includes allowances: a number of websites, audits and AI credits. On Solo, Founding, Agency and Growth each website includes website checks, rank tracking (Beta) and Cue, so there is one website allowance rather than a separate count of Cue websites. What a website includes on Free and on Cue Standalone is shown on the pricing page.

The allowances are shown on the pricing page and in the app. When you reach an allowance, the feature stops or asks you first; we do not charge for going over it without your agreement.

7. AI credits

  • AI credits measure the AI work done for your workspace on our account, such as Cue replies, Nib drafts and Ask Ospry answers. Different requests use different amounts. Credits are a usage allowance, not money.
  • Your plan's included credits reset at the start of each billing period, once the payment for that period has succeeded (see section 12). Unused included credits do not carry over.
  • Credits you buy as a top-up are used after your included credits and do not expire at the end of the month.
  • Credits have no cash value. They cannot be exchanged for money, transferred or sold, and purchased credits are non-refundable, except where the law requires or we have made a billing error. Credits end when the workspace is deleted.

8. Website packs and credit top-ups

  • On paid plans you can add website packs of +1 website or +5 websites. Each pack website comes with 500 AI credits a month. On Solo, Founding, Agency and Growth a pack website includes website checks, rank tracking (Beta) and Cue. On Cue Standalone a pack adds a website with Cue only.
  • A pack is added to your subscription and billed with it each month until it is removed. Stripe works out any part-period charge.
  • Add-on and top-up prices are subject to change. A new pack or top-up price applies to purchases made after the change; for a pack already on your subscription, section 9 applies.
  • Credit top-ups are bought by the workspace owner at checkout. Automatic top-up is not available, so credits are never bought for you automatically.

9. Price changes

We will give you at least 30 days' notice by email before we change the price of your subscription. The new price applies from your first renewal after the notice period ends. If you do not want to pay it, you can cancel before then.

10. Changing plan and downgrades

  • You can change plan from the Billing page or the billing portal. Any part-period charge or credit is worked out by Stripe at the time of the change.
  • Allowances follow the plan you are on. An upgrade adds the extra allowance straight away.
  • If you move to a plan with smaller allowances, or to Free, nothing you have made is deleted. Websites beyond the new plan's allowance stop being active: the ones first in your saved order stay active (with no saved order, the oldest do), and the rest become read only. A website that is no longer active is not checked overnight and Cue switches off on it; its past conversations, leads and history are kept. If you later have room on your plan, you can choose to make it active yourself. Purchased credits are not affected by a plan change.

11. Cancelling

  • You can cancel a paid subscription at any time in the billing portal (Manage billing, in Settings or on the Billing page). Cancellation takes effect at the end of the billing period you have already paid for, and you keep the paid plan until then. After that the workspace moves to Free. No grace period is added after a cancellation: the grace period in section 12 applies only to a failed renewal payment.
  • Deleting your workspace does not cancel your subscription. If you want to stop paying and delete your data, cancel your subscription in the billing portal first, then delete the workspace in Settings.

12. Failed payments

If a renewal payment fails, Stripe retries it and we email you. You have a grace period of 30 days, counted from the date the missed renewal payment was due. Later retries or further failed attempts do not extend it.

  • During the grace period your plan stays in place and its other features keep working. The included AI credits for the new billing period are not added until the payment succeeds, so AI replies and other AI work that uses credits, such as Cue replies, draw on any purchased credits you have and pause once those run out.
  • Paying the missed payment during the grace period ends it, and the included credits for the period are then added.
  • If the payment is still unpaid 30 days after its due date, the workspace moves to Free. Websites beyond the Free allowance become read only (the ones first in your saved order stay active), nothing is deleted, and your purchased credits and history are kept.
  • If Stripe cancels the subscription after its retries end, the workspace moves to Free at that point, which can be sooner than 30 days after the due date. The same applies: nothing is deleted, and purchased credits and history are kept.

Nothing is deleted because a payment failed.

13. Refunds

Payments are not refunded for part of a billing period, for unused allowances or for unused credits, except where the law requires it or we have charged you in error. If we have charged you in error, we will put it right.

14. Billing questions and disputes

If you think a charge is wrong, please email hello@osprysuite.com first so we can look at it. If a payment is reversed through your card provider while we are looking into it, we may pause paid features until it is resolved.

15. Suspension

We may suspend access straight away, with notice where reasonable, if you seriously breach these terms, if your use creates a security risk or legal exposure for us or others, or if the law requires it. We will restore access once the issue is resolved. We may close an account for serious or repeated breach.

We do not suspend access because a renewal payment has failed. During the grace period only the restrictions in section 12 apply, and if the payment stays unpaid the workspace moves to Free as section 12 describes. A payment reversed through your card provider is covered by section 14.

16. Changes to the service

Ospry is actively developed. We may change, add or remove features. If we remove a feature that is a main part of your paid plan, we will give you at least 30 days' notice and you may cancel.

17. Third-party services you connect

Ospry can work with accounts you hold with other providers, such as Google, your CRM, WordPress, social networks, calendars, Stripe and AI providers. Those accounts are yours, under your own agreements with those providers, and their terms apply to them. You are responsible for having the right to connect them. We are not responsible for a third party's service, its availability or changes it makes, and some features stop working if a provider withdraws or changes access.

18. Your content and data

  • You own your content and your data. You give us permission to host, process and display it only to provide Ospry to you. We do not use your content or your website visitors' data to train AI models.
  • Our Privacy Policy explains how we use account and billing data. Where we process personal data on your behalf (for example your clients' or website visitors' data), we do so as your processor under our Data Processing Agreement, which forms part of these terms. A copy is available on request from hello@osprysuite.com.
  • You can export your data and delete your workspace at any time from Settings. Deletion cannot be undone.

19. Changes the service makes to websites

Where you connect a website (for example through WordPress), the service only writes changes that you, your client or your agency explicitly approve. We keep a record of what was changed and when. You are responsible for the content you approve and publish, including its accuracy and its compliance with the advertising rules for your trade.

20. Acceptable use

  • You may run read-only audits of publicly available pages of any website, including prospects' sites. An audit only reads what a visitor's browser can read.
  • You may only connect, change or publish to a website, CRM, calendar or other system that you own or are authorised to manage.
  • If you use audits, prospect records, demo sites or drafts to contact businesses, you must do so lawfully, including under the Privacy and Electronic Communications Regulations and UK GDPR. Ospry does not send outreach for you.
  • You must not try to reach other workspaces' data; probe, scan, attack or overload the service or any website or network through it; scrape or bulk-extract the service; try to get round plan limits, credit limits, rate limits or other controls; send malware; or reverse engineer the service except as the law allows.
  • You must not use Ospry for unlawful, harassing, discriminatory or deceptive purposes, including fake reviews or content that pretends to come from a customer, and you must not store special category data in it on purpose.

21. Agencies and resellers

You may use the service for your clients, including under your own name where your plan allows it. You remain responsible to your clients for the work you do with it, for the client users you invite, and for having the right to process your clients' data in it. We bill you, not your clients. You may not resell bare access to the service itself as a substitute for a subscription.

22. Availability and maintenance

We aim to keep Ospry available, but we do not promise any particular uptime or response time unless we have agreed a service level with you in writing. The service may be unavailable during maintenance or for reasons outside our control, and data may be lost despite reasonable backups.

23. Intellectual property

We own the service, its software and its design. We give you a non-exclusive, non-transferable right to use it for your business while your account is open. Reports and audit outputs you generate are yours to use with your clients. If you send us feedback, we may use it without any obligation to you.

24. Confidentiality

Each of us will keep the other's non-public business information confidential and use it only for this agreement, unless the information is already public or the law requires it to be disclosed.

25. What we do not promise

  • We do not guarantee rankings, traffic, leads, bookings or any other commercial outcome. Nobody honestly can.
  • Ospry reports what it measures. Some measurements come from third parties, including Google, and where something cannot be measured the service says so rather than guessing.
  • AI outputs, including Cue replies, Nib drafts and suggestions, are generated automatically and can be wrong. Check them before you rely on or publish them. You are responsible for the facts, prices and promises you set Cue up to give.

26. Liability

  • Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be limited or excluded.
  • Subject to that, we are not liable for loss of profits, revenue, rankings, traffic, goodwill or data, or for any indirect or consequential loss.
  • Subject to that, our total liability to you for all claims arising out of or in connection with these terms is limited to the fees you paid us in the 12 months before the event giving rise to the claim.

27. Ending the agreement

You can stop using Ospry at any time: cancel any subscription in the billing portal, then delete your workspace in Settings. We may end the service as a whole on at least 60 days' notice, refunding any fees paid for the period after it ends. The sections on confidentiality, liability and the legal bits continue after the agreement ends.

28. Changes to these terms

We will tell you about changes to these terms by email and in the app at least 30 days before they apply to you, unless a change is needed sooner for legal or security reasons. The workspace owner will be asked to accept the new version before starting or changing a paid plan. If you do not accept a change, you can cancel before it applies.

29. The legal bits

  • These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
  • If a court finds part of these terms unenforceable, the rest still stands.
  • You may not transfer this agreement without our consent. We may transfer it to a successor to our business on notice.
  • These terms, the Data Processing Agreement and any written order form we have signed with you are the whole agreement. No one else has rights under it.
  • We send notices to the email address of your workspace owner. You can send notices to hello@osprysuite.com.
